Draft for review — effective date to be added.

This Service Agreement page summarizes topics that should be addressed in a signed project agreement. It is not a complete agreement for a specific project unless expressly incorporated and accepted.

Parties and scope

Identify the legal names of provider and client, contact details, objectives, deliverables, exclusions, technical assumptions, and referenced proposal or statement of work.

Schedule and approvals

Set out milestones, dependencies, client review periods, acceptance criteria, and how delays or changes will be handled.

Fees and expenses

Specify fees, deposits, milestones, taxes, approved expenses, third-party subscriptions, late-payment terms, and consequences of non-payment.

Changes and revisions

Describe included revision rounds, how changes are requested, and how additional work is estimated and approved.

Client duties

Define responsibilities for content, assets, approvals, access credentials, legal permissions, privacy notices, and timely decisions.

Hosting and maintenance

State who provides hosting, domains, backups, licenses, monitoring, updates, support hours, incident response, and data migration. Promise service levels only when defined in writing.

Intellectual property and portfolio

Specify ownership and licensing of deliverables, source files, pre-existing tools, third-party components, and any permission to display the project.

Privacy and security

Describe relevant data-processing roles, security responsibilities, subprocessors, incident notifications, retention, and international transfers where required.

Warranty, liability, and termination

Set out agreed warranties, lawful limitations, termination rights, payment for completed work, handover, and dispute procedures.

Governing law and review

Identify governing law and dispute venue only after appropriate legal review. Mandatory laws in a client's jurisdiction may apply regardless of a selected clause.

Before launch: Confirm the operating legal entity, business address, actual service practices, vendors, tracking tools, retention schedules, and applicable jurisdictions. Obtain qualified legal review. Last updated: October 15, 2026.
